When we refer to "Company," "we," "our," or "us" in this document, we are referring to Talent Junction.
When we say "Services," we refer to any product created and maintained by Talent Junction. This includes Talent Junction (all versions), whether delivered in a web browser, a desktop application, a mobile application, or any other format.
When we say "You" or "your," we refer to the individuals or organizations using one or more of our Services.
We may update these Terms of Use in the future. Generally, these changes are intended to clarify certain terms by referencing an expanded related policy.
When you use our Services, now or in the future, you agree to the latest Terms of Use. This applies to all our existing and future products and any features we add to our Services over time. It may occur that we do not exercise or enforce a right or provision of the Terms of Use; by doing so, we do not waive that right or provision. These terms contain a limitation of our liability.
If you violate any of the terms, we may terminate your account.
Account Terms
You are responsible for the security of your account. The Company is not liable for any loss or damage resulting from your failure to maintain this security obligation. You may not use the Services for illegal purposes. We reserve the right to remove any illegal content or content we deem inappropriate. You are responsible for all content posted and for activities occurring under your account. This includes content posted by others who: (a) have access to your login credentials, or (b) have their own credentials under your account. You must be a human. Accounts created by "bots" or other automated methods are not permitted.
Payment, Refunds, and Price Changes
If you are using a free version of one of our Services, it is truly free: we do not ask for your credit card, and just like for paying customers, we do not sell your data. All fees are exclusive of any taxes, withholdings, or duties imposed by tax authorities. You are responsible for paying any taxes, withholdings, or duties. We handle refunds fairly.
Security and Privacy
Your use of the Services is at your own risk. We provide these Services "as is" and "as available." We do not offer service level agreements for our Services. We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. We take many steps to protect and secure your data through backups, redundancies, and encryption. We apply encryption for data transmission over the public internet. There are a few edge cases where we may send your data over our network without encryption. When you use our Services, you entrust us with your data. We take this trust very seriously. You agree that Talent Junction may process your data. We, as humans, may access your data for the following reasons:
• To assist with support requests you make. We will ask for express consent before accessing your account.
• In rare cases where an error occurs and halts an ongoing automated process. We receive automated alerts when such errors occur. When we can resolve the issue and restart the automated process without looking at personal data, we do so. In rare cases, we may need to review a minimal amount of personal data to resolve the issue. In such cases, we aim to fix the underlying cause as much as possible to prevent such errors from recurring.
• To protect Talent Junction. We will review logs and metadata as part of our work to ensure the security of your data and the Services as a whole. If necessary, we may also access accounts as part of an investigation for abuse reporting.
• As required by applicable law. As a U.S. company with all data infrastructure located in the United States, we only retain or share customer data if required by a U.S. government authority with a legally binding order or a proper request under the Stored Communications Act. If a non-U.S. authority approaches Talent Junction for assistance, our default position is to decline unless the order has been approved by the U.S. government, which requires us to comply through procedures defined in a mutual legal assistance treaty or agreement mechanism. If Talent Junction is audited by a tax authority, we only share the minimum necessary billing information to complete the audit.
We use third-party providers and hosting partners to provide the hardware, software, networks, storage, and related technology needed to run the Services.
Under the California Consumer Privacy Act ("CCPA"), Talent Junction is a "service provider," not a "business" or "third party," with respect to your use of the Services. This means we process the data you share with us only for the purposes for which you signed up and as described in these Terms of Use, the Privacy Policy, and other policies. We do not retain, use, disclose, or sell any of this information for any commercial purpose without your explicit consent. In return, you agree to comply with your obligations under the CCPA and not use Talent Junction Services in a manner that violates the regulations.
Copyright and Content Ownership
All content posted on the Services must comply with U.S. copyright law. We do not claim any intellectual property rights over the material you provide to the Services. Any uploaded materials remain yours. We do not pre-screen content but reserve the right (but not the obligation) at our sole discretion to refuse or remove any content available through the Service. The names, appearance, and usability of the Services are protected by copyright© of the Company. All rights reserved. You may not duplicate, copy, or reuse any part of the HTML, CSS, JavaScript, or visual design elements without the express written permission of the Company. You must seek permission to use the Company's logo or any Service logo for promotional purposes. Please email us to request permission to use logos. We reserve the right to revoke this permission if you violate these Terms of Use. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any part of the Services, the use of the Services, or access to the Services without the express written permission of the Company. You must not alter another website in a way that falsely implies it is associated with the Services or the Company.
Features and Bugs
We carefully design our Services based on our own experience and feedback from customers who share their time and comments. However, there is no service that satisfies everyone. We do not guarantee that our Services will meet your specific requirements or expectations.
We also thoroughly test all our features before releasing them. As with any software, our Services inevitably contain bugs. We track the bugs that are reported to us and prioritize fixing important ones, including those related to security or privacy. Not all bugs will be fixed, and we do not guarantee that the Services will be completely free of errors.
Service Modifications
Some third-party vendors have created integrations between our Services and theirs. We are not responsible for these third-party integrations.
Liability
We mention liability throughout these Terms, but to consolidate everything in one section:
You expressly understand and agree that the Company shall not be liable, in law or equity, to you or any third party for any direct, indirect, incidental, loss of profits, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or inability to use the Services; (ii) the cost of procuring substitute goods and services resulting from any goods, data, information, or services purchased or obtained or messages received or transactions made through the Services; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to these Terms of Use or the Services, whether in contract, tort (including active or passive negligence), or any other theory of liability.
